KNDS IPO 2026: Can You Buy Shares in the Leopard Tank Maker?

KNDS, the Franco-German maker of the Leopard 2 tank, planned to list its shares in Paris and Frankfurt in summer 2026. The KNDS IPO was suspended on 1 July 2026, and as of 14 October 2026 the company is still unlisted. KNDS does not yet have a share price or a public ticker.

The short answer is simple. Retail investors cannot buy KNDS shares today. On 5 October, Bloomberg reported that the German owners are negotiating to sell up to 40% directly to Berlin, which would push any listing further out (Zonebourse/BFM Bourse). This article explains the deal and its numbers. It also covers the listed companies that markets often watch as proxies.

Because KNDS has never traded, its price history does not exist. The chart below shows Rheinmetall, KNDS's partner in the Boxer programme and its closest large listed peer. Press reports described its sharp fall on 24 June as the backdrop to the decision to put the IPO on hold (ION Analytics).

What Is KNDS?

KNDS N.V. is a land defence group registered in Amsterdam. It was formed in 2015 by combining Germany's Krauss-Maffei Wegmann with France's Nexter (Wikipedia). Today the German arm trades as KNDS Deutschland and the French arm as KNDS France.

The group employs about 11,000 people at 32 production and service sites in 12 countries. It reports an installed base of around 11,400 systems with over 40 armed forces (EQS News).

Who Owns KNDS?

KNDS has two owners with equal stakes. The French state holds its half through GIAT Industries. The other half belongs to Wegmann & Co, the holding company of the Bode and von Braunbehrens families.

Shareholder Today Planned after IPO (June 2026 plan) Reported Berlin deal (5 Oct 2026)

What Does KNDS Make?

KNDS builds heavy land systems and ammunition. Its best-known products are listed below.

  • The Leopard 2 main battle tank is built by KNDS Deutschland.
  • The Leclerc tank is built by KNDS France.
  • The Boxer armoured vehicle is made with Rheinmetall through the ARTEC joint venture.
  • The CAESAR self-propelled howitzer is a French export success.
  • The RCH 155 wheeled howitzer pairs a Boxer drive module with an automated gun.
  • Ammunition of many calibres is a fast-growing third division.

KNDS IPO Timeline: From Intention to Float to Suspension

The listing plan moved quickly in 2026. It then stalled within a week.

Source: Defense News, Börse Express, RTTNews, Großwald, M&A Insights, Börsen-Zeitung, EQS News, gettex, Reuters via Euronext, Zonebourse/BFM Bourse.

Why Was the KNDS IPO Postponed?

KNDS gave market volatility as the reason. In its 1 July release, the company said the shareholders "stand ready to resume the IPO process as soon as market conditions allow" (KNDS via gettex).

Two other factors weighed on the deal. First, Rheinmetall fell about 19% on 24 June after Germany cancelled the F126 frigate project (RTTNews). The second factor was a gap in price expectations. Reuters, citing the Financial Times, reported that the families wanted at least €12.5bn while some investors offered less (The Star/Reuters).

What the CEO Said on 1 October

Chief executive Jean-Paul Alary spoke to Handelsblatt on 1 October. He said an IPO in 2026 "remains possible" if market conditions meet shareholder expectations (Reuters via Euronext).

He also signalled that a listing during the French presidential campaign would not be ideal (trend.at/APA). The first round of that election is set for 18 April 2027 (Reuters via Internazionale).

Berlin's KfW Bid and the Warburg Pincus Talks

On 2 October, Börsen-Zeitung reported that Warburg Pincus was in talks with the family holding about a larger stake (Börsen-Zeitung). Berlin, however, holds a pre-emption right over the family shares.

Three days later, Bloomberg reported that talks had shifted to a direct sale of up to 40% to the German government. The families would keep about 10%. According to the same report, such a sale could suspend the IPO in the short term (Zonebourse/BFM Bourse).

How the KNDS IPO Was Structured

The June plan was unusual for a large European listing. All shares on offer would have come from existing owners. KNDS itself would not have raised new money.

Feature Planned terms (24 June 2026)
Issuer KNDS N.V. (Netherlands)
Offer type Secondary sale by GIAT and Wegmann
Size Up to about 20% of share capital
Investors Private placements to institutions
Public offering None planned in any jurisdiction
Listing venues Euronext Paris and Frankfurt (Prime Standard)
Prospectus regulator Dutch AFM, notified to AMF and BaFin
German entry KfW to buy 40% from Wegmann, subject to the IPO

Source: KNDS intention-to-float release via EQS News.

Who Could Have Bought in the IPO?

Only professional investors could have taken part in the placement. The release stated that it expected private placements to institutional investors and did not plan a public offering (EQS News). Private investors would have needed to wait for the first day of trading.

KNDS IPO Banks

A large syndicate was hired for the deal, according to the June release.

Role Banks
Joint global coordinators BofA Securities, Deutsche Bank, Goldman Sachs, Société Générale
Senior bookrunner UBS
Bookrunners BNP Paribas, Citigroup, Commerzbank, Crédit Agricole CIB, Natixis, UniCredit
Financial adviser to KNDS Lazard

Source: EQS News.

Lock-Up and Golden Share Rules

The two states planned tight control. Neither could drop below 30% for ten years without the other's consent. Loyalty shares would carry double votes after two years. France keeps a golden share, and Germany planned a matching security agreement (EQS News).

For outside investors, this means limited influence. With up to 80% in state hands, the free float would also be small.

KNDS Revenue and Profits: The 2025 Numbers

KNDS has grown fast as European armies rearm. The KNDS annual results 2025 were published in May 2026.

Metric (FY2025) Value
Revenue €4.4bn (+16%)
EBIT €661m (15% margin)
Free cash flow €980m
Order intake €13.5bn (record)
Book-to-bill about 3.1x
Order backlog (31 Dec 2025) €33.1bn (+41%)
Backlog to revenue about 7.5x

Source: EQS News, ESUT. Ratios calculated from the reported figures. Past performance is not a reliable indicator of future results.

Revenue by Division

Germany is the largest part of the group. The French arm and the ammunition unit also grew in 2025.

Division 2025 revenue Change on 2024
Land Systems Germany €2.5bn +17.4%
Land Systems France €1.3bn +9.6%
Ammunition €612m about +25%

Source: ESUT, 27 May 2026. Past performance is not a reliable indicator of future results.

Four Years of Growth

The order book has tripled since 2022, from €11bn to €33.1bn. Revenue has grown more slowly after a flat 2023, since tanks take years to build.

Year Revenue Change Order intake Year-end backlog
2022 €3.2bn +19% €3.4bn €11bn
2023 €3.3bn about +3% €7.8bn about €15.7bn
2024 €3.8bn about +15% €11.2bn about €23.5bn
2025 €4.4bn +16% €13.5bn €33.1bn

KNDS Revenue Guidance 2026 and Medium-Term Targets

The company set out its outlook in the June release. It expects a lower margin in 2026 while it spends heavily on capacity.

Target Period Company guidance
Revenue growth 2026 about 30%
EBIT margin 2026 about 12%
Free cash flow 2026 above €250m
Capital expenditure 2026 about €750m
Annual revenue Medium term €11bn to €12bn
EBIT margin Medium term 14% to 15%
Cumulative free cash flow Medium term €2.5bn to €3.0bn

Source: EQS News. Forecasts are not a reliable indicator of future performance.

The company expects uneven growth, with a large ramp-up in 2028 (EQS News). A 30% rise from €4.4bn would mean revenue of roughly €5.7bn in 2026, by our calculation.

KNDS Dividend Policy

KNDS said it would target a payout of about 40% of net income from 2027, based on 2026 results, if it were listed (EQS News). Dividends are never certain and depend on future profits.

KNDS Valuation: What Is the Company Worth?

Estimates of the company's value vary widely. The gap between what owners wanted and what investors offered was a key reason for the delay.

Source Estimate Date
Reuters source about €15bn 3 Jul 2026
Financial Times (via Reuters) Families' floor of €12.5bn 3 Jul 2026

M&A Insights/Bloomberg €12bn implies about 18.2x EBIT 26 Aug 2026

Source: The Star/Reuters, ION Analytics, M&A Insights, Großwald. The KfW figure is a spending cap and may differ from any market price. Forecasts are not a reliable indicator of future performance.

The French broker AlphaValue expected a relaunch price above the €40 per share discussed before the pull, according to BFM Bourse (Zonebourse/BFM Bourse). Broker expectations can be wrong, and forecasts are not a reliable indicator of future performance. Any KNDS IPO price range would only be set in a prospectus.

KNDS has record orders and strong cash flow. Its listing still depends on two things it cannot fully control: the mood towards defence stocks and a political deal between Paris and Berlin.

Demand Drivers Behind the Order Book

KNDS's backlog rests on a few very large programmes. These contracts shape how investors may value the company.

Leopard 2A8 Orders

Five NATO countries had ordered about 350 Leopard 2A8 tanks by December 2025, according to The Defense Post.

Country Leopard 2A8 tanks ordered
Germany 123
Norway 54
Netherlands at least 46
Czech Republic 44
Lithuania 44

Source: The Defense Post, 1 Dec 2025. Order data as of December 2025. The country figures add up to 311, so the headline of about 350 likely includes options.

Boxer Arminius Order

Germany is preparing a firm order worth about €25bn for about 1,800 Boxer vehicles. The work is reportedly split equally between Rheinmetall and KNDS Germany. A Bundestag debate is expected on 9 December 2026, with signing in December (Calibre Defence).

M&A Insights, citing Bloomberg, reported that the IPO valuation hinges on this decision (M&A Insights).

RCH 155 UK Order and Capacity

The UK ordered 72 RCH 155 wheeled howitzers in May 2026. Rheinmetall will supply the guns, with deliveries between May 2028 and June 2031 (Rheinmetall).

To meet demand, KNDS plans about €750m of capital spending in 2026 (EQS News). Heavy investment can lift future output. It also weighs on near-term margins.

Can I Buy KNDS Shares?

Direct ownership is not open to the public today. KNDS is unlisted, so there is nothing to buy on an exchange. Admirals does not offer any product based on KNDS.

Offers of so-called pre-IPO KNDS shares deserve great care. KNDS has not offered shares to the public, and its planned IPO did not include a public offering (EQS News).

How a Future Listing Might Work

If the IPO restarts on the June terms, the placement would go to institutions. Shares would then trade on Euronext Paris and in Frankfurt. From that point, investors could buy them through a broker that offers those exchanges.

A listing could also open the door to derivatives such as CFDs, if a provider chooses to offer them. That is not certain, and any listing date remains open.

The KNDS Renk Stake and Other Listed Links

Several listed companies are linked to KNDS through joint ventures or shareholdings. These shares do not give direct exposure to KNDS, and their prices depend mainly on their own business.

Rheinmetall Stock: The Closest Listed Peer

Rheinmetall is the market's main reference point for German land defence. Its sharp fall in June formed part of the sector sell-off that preceded the KNDS delay (ION Analytics). Rheinmetall shares do not give exposure to KNDS itself. Admirals offers a Rheinmetall AG CFD (#RHM).

Rheinmetall 5-Year Performance

Rheinmetall rose strongly from 2022 to 2025 as Europe raised defence budgets. The trend reversed in 2026. By 13 October the stock was about 38.5% below its 2025 close and about 51% below its 19 January high of €1,966.00.

A future listing would carry risks as well as opportunities. The balance below sums up both sides.

Possible positives Possible negatives
Record backlog of €33.1bn Valuation gap between owners and investors
Free cash flow of €980m in 2025 Lower 2026 margin of about 12% during the ramp-up

Legacy Compliance Questions

In April 2026, KNDS opened an investigation into alleged commission payments linked to a 2013 deal with Qatar for Leopard 2 tanks and PzH 2000 howitzers. KNDS said its review, which was not yet complete, had not found evidence of criminal misconduct by staff. Auditor PwC held back approval of the 2025 accounts until the review progressed (Army Technology). KNDS published its 2025 results in late May (ESUT). Such issues can still affect investor appetite.

Lessons from the CSG IPO

Czechoslovak Group listed in January 2026 at €25 per share. By March its shares had dipped below the subscription price for the first time (Prague Stock Exchange). New defence listings do not always trade above their offer price. CSG has traded for less than 12 months, so a full-year performance record is not yet available. Past performance is not a reliable indicator of future results.

Key Dates for the KNDS IPO and Defence Stocks

These dates could move sentiment towards KNDS and its listed peers. UK clocks go back on 25 October and US clocks on 1 November, so the usual gap between London and New York shrinks for one week.

How Traders Often Approach a Delayed Defence IPO

A suspended listing does not stop the wider theme from trading. Some market participants follow the listed peers instead. The points below describe common approaches and are not recommendations.

  • Traders often watch Rheinmetall as the main sentiment gauge for German land defence.
  • Some analysts look at the Boxer decision in December as a key test for valuations.
  • Markets have often reacted to headlines about Ukraine peace talks with sharp moves in defence stocks.
  • Traders commonly track the German 40 index for the wider market backdrop.
  • Some investors compare peer EV/EBIT multiples to judge what a future KNDS price might look like.
