BCP's Buyback Forces Sonangol to Sell: The ECB's 20% Line Explained

Angola's state oil company Sonangol, the second-largest shareholder in Millennium bcp, reportedly has to sell part of its stake. The reason is the bank's own share buyback. BCP cancels the shares it buys back, so every remaining holder owns a larger percentage without buying anything. Sonangol held 19.90% at the end of June, and the cancellation would lift it above 20%.

Crossing that line requires prior authorisation from the European Central Bank (ECB), according to Jornal de Negócios, which reported the story on 20 October 2026. To stay at 19.9%, Sonangol would need to sell about 56 million shares, worth roughly €62 million. Our own arithmetic from BCP's shareholder register gives a very close figure of about 56.9 million shares.

What Happened: Sonangol Reportedly Needs to Trim Its BCP Stake

The story is about arithmetic and regulation. It sits at the meeting point of three facts. Each one is public and can be checked.

  • BCP is buying back up to €407,458,786 of its own shares between 4 June and 4 December 2026.
  • The bank intends to cancel the shares it buys, which shrinks the total number of shares in issue.
  • Sonangol's holding of 2,946,353,914 shares was equal to 19.90% of the capital at 30 June 2026.

When the share count falls, the same 2.95 billion shares become a bigger slice of the bank. Jornal de Negócios reported that this is the second year in a row that Sonangol faces the issue.

How a Share Buyback Raises Every Holder's Percentage

The mechanism behind the story is simple. It still surprises many readers, so it is worth taking step by step.

What Is a Share Buyback?

A buyback is when a company buys its own shares on the market. It is a way to return cash to shareholders, next to dividends. Admirals explains the trade-off between the two in its guide on share buybacks versus dividends.

BCP's purchases are carried out by J.P. Morgan SE on Euronext Lisbon, according to Jornal Económico. The programme follows EU market abuse rules, as set out on the BCP buyback page.

Why Cancelled Shares Matter

A company can keep repurchased shares in its treasury, or it can cancel them. BCP's shares bought in 2026 are to be cancelled later, Jornal Económico reported. Once cancelled, those shares cease to exist. The total share count falls, and so the percentage held by every other investor rises.

A shareholder who does nothing therefore owns more of the company. This is often called "stake creep". For most investors it is a small side effect. For a holder sitting just below a regulatory line, it can create a legal problem.

A Simple Worked Example

Step Shares in issue Investor's shares Investor's stake
Before the buyback 1,000 199 19.90%
Company buys back and cancels 20 shares 980 199 20.31%
Investor sells 4 shares 980 195 19.90%

Illustrative example with round numbers. It does not describe any real company.

Share Cancellation vs Treasury Shares

Feature Cancelled shares Treasury shares
Share count Falls Stays the same
Voting rights Disappear Suspended while held
Effect on other holders' percentages Rises Voting share can rise, capital share unchanged
Can be resold later Cannot Can
BCP's choice in 2026 Yes Held only until cancellation

By 16 October, BCP had spent about 77.3% of the cap. It had bought about 1.92% of its share capital at an average of roughly €1.11 per share. About €92.3 million remains. Spread over the seven weeks to 4 December, that is about €13.2 million a week.

Jornal Económico's headline said BCP "reinforced" the buyback. The weekly volumes in the filings fell, from 23.3 million shares to about 10.0 million. The figures above come directly from the filings.

BCP says it aims to distribute up to 90% of profit generated from 2025 to 2028. This is subject to approval by the authorities. It is also tied to a CET1 capital ratio above 13.5%, according to the bank's buyback page.

Who Owns BCP? The BCP Shareholder Structure

Two foreign investors hold around two fifths of the bank between them. The rest is spread widely. CEO Miguel Maya has put the free float at about 60%, as reported by ECO.

The Two Largest Shareholders

Shareholder Country Shares Stake at 30 June 2026

Shareholder Stake now After cancelling 284.6m shares bought to 16 October If the full programme is cancelled (about 367m shares, estimate)
Fosun 20.45% About 20.85% About 20.97%

Fosun is already above 20%. It held close to 30% in the past, so it has crossed that line before. Sonangol's position is different, because its holding sits just under the threshold.

The ECB's 20% Threshold Explained

Bank ownership in the euro area is supervised closely. Large stakes need the regulator's approval in advance.

What Is a Qualifying Holding?

A shareholder owning 10% or more of a bank, or exercising significant influence over it, holds a "qualifying holding". The ECB says prior authorisation is needed to acquire such a holding. The same applies to passing certain thresholds of a bank's capital or voting rights, according to ECB Banking Supervision. The lower two lines are 10% and 20%. The higher two are 30% and 50%.

The Thresholds at a Glance

Threshold What it means Approval needed?
10% Entry into a qualifying holding Yes, in advance
20% Second step up Yes, in advance
30% Third step up Yes, in advance
50% Control of the bank Yes, in advance

Source: ECB Banking Supervision, guide on qualifying holding procedures, 23 May 2023.

What the Sources Leave Open

The ECB page does not spell out how a passive crossing is treated. A passive crossing is one caused by the issuer cancelling shares, with the investor buying nothing. Jornal de Negócios frames the situation simply. If Sonangol went above 20%, it would have to ask the ECB for authorisation.

Selling a small block keeps the holding below the line. Requesting approval is the other route, and Sonangol has used it once before.

Sonangol and the ECB in 2016 and 2017

In December 2016 the ECB cleared Sonangol to go above 20% of BCP, as reported by ECO. A year later Sonangol let that approval lapse without raising its stake, ECO reported in December 2017.

A buyback with cancellation can push a passive shareholder across a regulatory line without that shareholder buying a single share. At BCP, that arithmetic now reaches Sonangol for the second year running.

How Many BCP Shares Sonangol May Need to Sell

The press figure and the register are close. The numbers below are mechanical calculations. They say nothing about price.

The Arithmetic

Case Shares in issue after cancellation Sonangol stake if it does nothing Sale needed to sit at 19.9% Sale needed to stay at or below 20.0%
Shares bought to 16 October (284.6m) About 14,520m About 20.29% About 56.9m shares About 42.3m shares
Full programme (about 367m, estimate) About 14,438m About 20.41% About 73.3m shares About 58.8m shares

Source: author's calculations from the BCP register and the BCP buyback filing. Illustrative estimates only.

The reported value of about €62 million implies roughly €1.11 per share. That matches the average price BCP has paid in its buyback so far. At the 20 October close of €1.0985, 56.9 million shares would be worth about €62.5 million.

The Second Year in a Row

Date Shares in issue Fosun Sonangol
February 2026, before the 2025 cancellation About 15,114m 20.03% 19.49%
30 June 2026, after the 2025 cancellation About 14,805m 20.45% 19.90%
After cancelling 2026 purchases to 16 October (estimate) About 14,520m About 20.85% About 20.29%

Source: ECO, Lusa via AMAN Alliance and the BCP register.

Last year's €200 million programme cancelled 309.4 million shares. That lifted Sonangol from 19.49% to 19.90% with the same number of shares. Once the shares bought under the larger 2026 programme are cancelled, the figure would go over 20%.

What Is Still Unknown

  • The method of any sale has not been disclosed.
  • The timing of any sale has not been disclosed.
  • The date on which BCP will cancel the 2026 shares has not been announced.
  • The final size of the programme depends on how much BCP spends by 4 December.
  • Jornal de Negócios is behind a paywall, so only its headline figures were checked.

Sonangol's Stated Stance on BCP

Sonangol has described its Portuguese holdings as strategic. On 25 February 2026, Sonangol director Osvaldo Inácio described the stakes in BCP and Galp as strategic for diversifying away from oil. Lusa reported the remarks, which were carried by AMAN Alliance.

In February 2024, the then chairman Sebastião Martins said Sonangol did not plan to sell. He added that any decision would need the Angolan government, according to Essential Business.

The reported sale is a trim to stay below a threshold. Sonangol has not announced an exit.
